Answear.com completes acquisition of Sneakerstudio and PRM

Answear.com, one of the fastest-growing fashion and lifestyle e-commerce that generated nearly PLN 1 billion in 2022, will acquire Sneakerstudio and PRM brands. The Annual General Meeting of Shareholders approved financing the acquisition entirely with Answear.com shares. The transaction will strengthen the Company's position as one of the leading fashion e-commerce players operating in Central and Eastern European markets, and will position Answear more strongly in the premium sneaker & streetwear segment.

Through the acquisition, Answear.com will expand its business to new segments and customer groups - particularly Gen Z and customers interested in premium and luxury products. The company also sees numerous synergies based on mutual strengths, combining the unique offerings of the acquired brands with the operational efficiency and technology and logistics facilities of Answear.com.

Answear.com is acquiring the ZCP (Organised Business Part) of Fashion Trends Group, which includes, among others, the Sneakerstudio and PRM websites, as well as two stationary boutiques in Krakow and Warsaw, brand contracts and sales and marketing teams. Payment for the IPP will be made entirely in Answear.com shares, which under the terms of the agreement are to be issued up to 650,000 shares to existing IPP owners and up to 250,000 shares in the form of an incentive scheme. On 11 May, Anwear.com's AGM voted in favour of the share issue resolution.

Sneakerstudio is a mature and respected lifestyle and sneaker brand among the younger generation community in the CEE markets. It offers products from brands such as Adidas Originals, New Balance, Carhartt and Veja. The company operates online shops in CEE countries and also sells its products in Western European markets, including through a global website run in English. PRM, on the other hand, is a new concept in the luxury streetwear & fashion segment, offering brands such as Y-3, A.P.C., Marni, A-Cold-Wall, MISBHV and Rick Owens. Sales are made through a global website and the brand's boutique is located at 16 Świętokrzyska Street in Warsaw.
