Bajołek Family Reorganises Answear.com Ownership Structure. Transfer of Shares to Family Foundations is Part of Long-term Wealth Building Strategy

Answear.com S.A., one of the leaders in premium & high-end fashion in Central Europe, announces that Forum X FIZ - the Company's main shareholder (a fund affiliated with the Bajołek family), is transferring company shares to family foundations KB&F and AB&F. The reorganisation aims to optimise the holding structure and does not change control over the Company - all entities remain in the hands of founders Krzysztof and Arkadiusz Bajołek. This is part of a long-term family wealth-building strategy.

As part of the reorganisation process, a package of Answear.com shares will be transferred from Forum X FIZ (affiliated with the Bajołek family) to two family foundations: KB&F Family Foundation of Krzysztof Bajołek - CEO of Answear (75%) and AB&F Family Foundation of Arkadiusz Bajołek - Deputy Chairman of Answear's Supervisory Board (25%). The transfer will be implemented in stages, with the ultimate goal of transferring all shares currently held by Forum X FIZ.

Answear.com is a key investment for the Bajołek family, which they treat as a strategic long-term asset. The reorganisation being carried out is technical and serves to optimise the family's holding structure. The founders are convinced of the Company's potential for further value growth, particularly in the context of successful strategic transformation consisting of premiumization of the offer and entry into the high-end fashion segment. The effects of these changes are already visible in the clear improvement in profitability and dynamic revenue growth of Answear.com. The Company is on track to realise its vision of becoming the leader in the premium fashion market in Central Europe.

The asset reorganisation fits into the Bajołek family's long-term strategy and confirms the founders' strong commitment to the further development of Answear.com.
