Conclusion of significant agreements/annexes concerning warehouse space

Title: The Management Board of Answear.com S.A. (hereinafter also: "Company") informs that on 14th of July 2021 the following agreements/annexes have been concluded:1. Annex to the Lease Agreement dated 26 June 2019 concluded between the Company, Brandbq sp. z o. o. and 7R Logistic Kraków Kokotów Projekt 8 Sp. z o.o. (hereinafter: "Lease Agreement I"). The subject of Lease Agreement I is rental of warehouse and office area (c.a. 38,737 m2 and c.a. 2,742 m2 respectively) located in Kokotów, concluded for exclusive usage for the period of 120 months from 12 July 2019. Based on this annex, Lease Agreement I was terminated in relation to Brandbq sp. z o. o., and Answear.com S.A. became the sole party of the Agreement. The reason for conclusion of the annex is an increased demand for warehouse space for Answear.com S.A.2. At the same time, the Company, the company Brandbq sp. z o.o. (as solidary tenants) and Dafne 24 spółka z ograniczoną odpowiedzialnością concluded an agreement for rental of warehouse and office space with the total area of app. 17,933.75 m2 located in Kokotów (warehouse hall no. K9) (hereinafter: "Lease agreement II"). Under Lease Agreement II, Brandbq sp. z o.o. will use the entire rental area from the date of its handover, and the Company will be entitled to demand an access to a specific rental area when needed. Considering the joint and several nature of liabilities of Answear.com S.A. and Brandbq Sp. z o.o., each of the companies shall pay rent and other rental fees to the extent of the rental area used by both parties. The Company and Brandbq Sp. z o.o. agreed in a separate agreement in particular on the procedure for request by the Company to release the rental area for the Company (hereinafter: the "Agreement"). Under the Agreement, the Company will be entitled to request for release of the rental area partially and up to 50% of the total rental area under Lease Agreement II.On 5th of July 2021, the Supervisory Board of the Company approved the conclusion of the above annex to Lease Agreement I, Lease Agreement II and the Agreement.
